1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Pawel Borkar ("Clibo", "we", "us", or "our"), governing your access to and use of the Clibo desktop software application (the "Software"), the website located at https://clibo.app (the "Website"), and all related documentation, tools, and services (collectively, the "Services").

By downloading, installing, accessing, purchasing, or using Clibo or visiting our Website, you agree to be bound by these Terms. If you do not agree with these Terms, you must not download, install, access, or use the Services.

2. Eligibility and Authority

To use Clibo, you represent and warrant that:

1. You are at least 18 years old or have reached the legal age of majority in your jurisdiction.
2. If you are entering into these Terms on behalf of an entity, company, or organization, you possess the full legal authority to bind that entity to these Terms. In such case, "you" and "your" will refer to that entity.
3. You are not prohibited from receiving or using the Software under the laws of India or any other applicable international jurisdiction.

3. Description of Service and Local Architecture

Clibo is a local-first desktop clipboard management tool built for macOS, Windows, and Linux. The Software records, organizes, and retrieves your clipboard history locally on your personal computer.

You acknowledge and understand that:

• Clibo operates locally on your machine and does not provide hosted cloud clipboard storage.
• You are solely responsible for maintaining local backups of your data and securing physical and logical access to your device.

4. Software License Overview

Your installation and use of the Software is subject to our End User License Agreement (EULA), which is incorporated into these Terms by reference. Clibo is licensed, not sold. Subject to your compliance with these Terms and the EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run Clibo on compatible devices you own or control.

5. Paid Licenses, Pricing, and Payments

5.1 License Model

Clibo is offered primarily on a paid lifetime license model for specific major software versions, or on other commercial terms displayed at checkout. A lifetime license grants you the right to use the purchased version of the Software indefinitely on the permitted number of devices, alongside bug fixes and minor updates as determined by us.

5.2 Payment Processing

Payments are billed through authorized third-party Merchant of Record or payment gateway partners (such as Lemon Squeezy or Stripe). By submitting payment details, you authorize our payment processor to charge the total purchase amount, including any applicable sales taxes, value-added taxes (VAT), or goods and services taxes (GST).

5.3 Refunds

All purchases are governed by our Refund Policy. We offer a customer-friendly 14-day refund window under specified eligibility conditions.

6. User Responsibilities and Acceptable Use

You agree to use Clibo and the Website strictly in compliance with all applicable local, state, national, and international laws, rules, and regulations.

You are solely responsible for:

• All data, content, passwords, files, or sensitive information copied to your clipboard and indexed by the Software.
• Ensuring that your use of Clibo does not violate your employer's data handling policies, non-disclosure agreements, or applicable security mandates.
• Safeguarding your license key against unauthorized disclosure, sharing, or piracy.

7. Prohibited Activities

You agree that you will not, directly or indirectly:

1. Reverse Engineer: Decompile, disassemble, reverse engineer, decrypt, or attempt to derive the underlying source code or trade secrets of Clibo, except to the extent such restriction is expressly prohibited by mandatory applicable law.
2. Redistribute or Resell: Rent, lease, lend, sell, sublicense, distribute, publish, or host Clibo as a managed service or shared utility for third parties without prior written consent.
3. Circumvent Protections: Bypass, modify, defeat, or tamper with any license verification, security controls, or copy-protection mechanisms embedded in the Software.
4. Unlawful Use: Use Clibo to store, process, or transmit material that infringes intellectual property rights, violates privacy rights, or contains malicious code.
5. Interfere with Operations: Attempt to probe, scan, breach, or compromise the security or integrity of the Website, servers, or networks associated with Clibo.

8. Intellectual Property Rights

Clibo, including its branding, logo, user interface designs, visual assets, codebases, algorithms, documentation, and the Website, is the exclusive intellectual property of Pawel Borkar and is protected by copyright, trademark, trade secret, and other intellectual property laws of India and international treaties.

Except for the limited license explicitly granted to you in these Terms and the EULA, nothing in these Terms grants you any right, title, or interest in or to our intellectual property. All rights not expressly granted are reserved by Pawel Borkar.

9. Software Updates and Maintenance

We may, from time to time, develop and release updates, bug fixes, patches, performance enhancements, or new features ("Updates"):

• Updates may be deployed automatically or made available for manual download.
• You agree that Clibo has no obligation to provide ongoing maintenance, support, or future feature development for legacy versions or unsupported operating system releases.
• Major new version releases (e.g., major version upgrades) may be subject to additional upgrade fees at our discretion depending on your license tier.

10. Termination and License Revocation

10.1 Termination by You

You may terminate these Terms at any time by ceasing all use of the Website, uninstalling the Software, and deleting all copies in your possession.

10.2 Termination by Us

We reserve the right to suspend or revoke your license key and terminate your access to the Services immediately without refund if you violate any material provision of these Terms, engage in license key piracy, or circumvent our security controls.

10.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease, and you must destroy all copies of the Software on your devices. Sections 7, 8, 12, 13, 14, 15, and 16 will survive termination.

11. Third-Party Services and Links

Our Website or Software may reference, interact with, or contain links to third-party websites or services (e.g., payment processors, GitHub repositories, operating system integrations). We do not control or endorse third-party platforms and are not responsible for their content, availability, security, or privacy policies. Your interaction with third parties is governed solely by their terms and policies.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

CLIBO, THE SOFTWARE, THE WEBSITE, AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

PAWEL BORKAR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

1. CLIBO WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS;
2. THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF BUGS, GLITCHES, OR DATA CORRUPTION;
3. CLIBO WILL BE COMPATIBLE WITH ALL HARDWARE CONFIGURATIONS, THIRD-PARTY SOFTWARE, OR FUTURE OPERATING SYSTEM UPDATES;
4. ANY CLIPBOARD DATA RECORDED BY CLIBO WILL BE RETRIEVABLE WITHOUT LOSS IN THE EVENT OF SYSTEM CRASHES, POWER LOSS, OR HARDWARE MALFUNCTIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAWEL BORKAR, HIS AFFILIATES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

1. ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
2. LOSS OF PROFITS, SALES, BUSINESS, REVENUE, OR GOODWILL;
3. LOSS, CORRUPTION, DAMAGE, OR UNAUTHORIZED EXPOSURE OF DATA (INCLUDING CLIPBOARD DATA);
4. WORK STOPPAGE, COMPUTER FAILURE, OR SYSTEM MALFUNCTION;
5. ANY AMOUNT EXCEEDING THE GREATER OF THE TOTAL FEES ACTUALLY PAID BY YOU TO CLIBO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR FIFTY UNITED STATES DOLLARS ($50.00 USD).

14. Indemnification

You agree to defend, indemnify, and hold harmless Pawel Borkar and his contractors, licensors, agents, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of Clibo, the Website, or the Services;
• Your violation of these Terms or the EULA;
• The nature, content, or handling of any Clipboard Data copied, stored, or processed on your device;
• Your infringement or violation of any third-party intellectual property, privacy, or proprietary rights.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the substantive laws of India, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you and Clibo agree to attempt in good faith to resolve any dispute, claim, or controversy informally. Informal notice must be sent via email to support@clibo.app. Both parties agree to negotiate in good faith for at least thirty (30) days following receipt of notice.

15.3 Jurisdiction

If informal resolution fails, any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the competent courts located in Pune, Maharashtra, India. You hereby irrevocably submit to the exclusive personal jurisdiction and venue of such courts.

16. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, EULA, Refund Policy, and Cookie Policy, constitute the entire agreement between you and Pawel Borkar concerning the Services.
• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
• Waiver: No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right.
• Assignment: You may not assign, transfer, or delegate these Terms or your rights hereunder without our prior written consent. We may freely assign our rights and obligations under these Terms.
• Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control.
