End User License Agreement

1. Important Notice: Licensed, Not Sold

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("Licensee", "you", or "your") and Pawel Borkar ("Licensor", "we", "us", or "our"), the author and copyright owner of the Clibo desktop software application ("Software" or "Application").

By downloading, installing, copying, accessing, activating, or otherwise using Clibo, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.

2. License Grant, Scope, and Permitted Use

2.1 License Grant

Subject to your payment of applicable license fees and ongoing compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and execute the binary executable copies of Clibo on compatible operating systems you own or control.

2.2 Personal and Commercial Use

• Personal Use: You may use Clibo on your personal computers for non-commercial and personal productivity purposes.
• Commercial & Professional Use: You may use Clibo within commercial, corporate, or professional environments, provided that each individual user is covered by a dedicated valid license key.

2.3 Device and Seat Limits

Unless otherwise stated during checkout or on your invoice, an individual single-user license key permits activation and active use on up to three (3) personal devices used exclusively by the same individual license holder (e.g., your primary work laptop, home desktop, and portable macOS device).

3. License Restrictions and Prohibited Conduct

You expressly agree that you will not, directly or indirectly:

1. Decompile or Reverse Engineer: Decompile, reverse engineer, disassemble, decipher, or otherwise attempt to derive source code, underlying logic, structure, or algorithms of the Software, except solely to the extent permitted by mandatory statutory law.
2. Modify or Create Derivative Works: Modify, translate, adapt, alter, or create derivative works or improvements of the Software.
3. Redistribute, Resell, or Rent: Sell, resell, rent, lease, sublicense, distribute, assign, timeshare, or commercially exploit the Software or make its functionality available via a network or remote hosting service.
4. Circumvent Controls: Remove, alter, disable, or circumvent any copyright notices, proprietary markings, digital rights management, license verification routines, or security mechanisms in the Software.
5. License Key Sharing: Publicly share, publish, distribute, or auction license activation keys or activation credentials.
6. Benchmark & Competitive Extraction: Use the Software for competitive analysis, benchmarking, or constructing a directly competing product or service.

4. Reservation of Ownership and Intellectual Property

Licensor retains all right, title, interest, ownership, and intellectual property rights in and to the Software, including all code, binaries, UI assets, logos, icons, trademarks, documentation, and all improvements, modifications, and updates thereto.

This EULA does not grant you any rights to trademarks, service marks, or trade names of Clibo or Pawel Borkar.

5. Local Data, Privacy, and Zero Telemetry

You acknowledge that Clibo indexes clipboard entries into a local database on your machine. Licensor has no access to your clipboard entries. You are exclusively responsible for securing your computer, managing clipboard history clearance, and protecting confidential information copied to your clipboard.

Clibo does not collect, record, or transmit telemetry, usage analytics, or background diagnostics from the desktop application. No telemetry tracking code is present in the Software. Any technical support is provided on a manual basis if you voluntarily share local error logs directly with Licensor. For full details on our data practices, please review our Privacy Policy.

6. Software Updates and Maintenance

Licensor may from time to time provide software updates, bug fixes, patches, or performance upgrades ("Updates").

• Updates may be installed automatically or manually at your discretion.
• This EULA applies to all Updates provided by Licensor, unless an Update is accompanied by a separate license agreement.
• Licensor is under no obligation to provide ongoing technical support, maintenance, or feature updates for legacy operating system versions or deprecated platforms.

7. Term, Termination, and License Revocation

This Agreement remains effective from the date you install or use the Software until terminated by either party.

• Termination by You: You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession.
• Termination by Licensor: Licensor may terminate this EULA and revoke your license key immediately, without notice or refund, if you breach any term or restriction of this Agreement or engage in unauthorized license sharing or piracy.
• Post-Termination: Upon termination, all license rights granted under this EULA immediately cease. You must delete and purge all copies of the Software from all storage media and devices.

8. Export Controls and Sanctions Compliance

The Software may be subject to export control laws and economic sanctions regulations of India, the United States, the European Union, and other applicable jurisdictions.

You represent and warrant that:

1. You are not located in, or a national or resident of, any country or territory subject to comprehensive government trade embargoes or sanctions.
2. You are not listed on any government list of prohibited or restricted parties.
3. You will not export, re-export, transfer, or use the Software for any purpose prohibited by applicable export control laws.

9. Disclaimer of Warranties ("AS IS")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SOFTWARE IS PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND DEFECTS, WITHOUT WARRANTY OF ANY KIND.

LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL LICENSOR (PAWEL BORKAR) BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA LOSS, CORRUPTION OF CLIPBOARD CONTENT, SYSTEM DOWNTIME, DEVICE DAMAGE, REPUTATIONAL DAMAGE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL LICENSOR'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF THIS EULA OR THE SOFTWARE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE CLIBO LICENSE KEY.

11. High-Risk and Mission-Critical Disclaimer

The Software is not fault-tolerant and is not designed, manufactured, or intended for use in hazardous, high-risk, or mission-critical environments requiring fail-safe performance (e.g., medical life-support systems, nuclear facilities, air traffic control, or military defense operations). You assume all risks associated with using the Software in critical workflows.

12. Governing Law and Jurisdiction

This EULA and any dispute or controversy arising out of or related hereto shall be governed by and construed in accordance with the substantive laws of India, without giving effect to conflicts of laws principles.

Any dispute, claim, or legal proceeding arising out of or related to this EULA shall be subject to the exclusive jurisdiction of the competent courts sitting in Pune, Maharashtra, India.

13. Severability and Complete Agreement

If any provision of this EULA is held to be invalid or unenforceable, such provision shall be construed or reformed to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

This EULA, along with our Terms of Service and Privacy Policy, constitutes the complete and exclusive agreement between you and Licensor regarding the Software.
